Welcome to PayLync. These Terms and Conditions (“Terms”) govern your access to and use of PayLync’s website, applications, Chrome extension, mobile applications, payment features, customer portal, invoice tools, and related products and services collectively referred to as the “Services.”

By accessing or using PayLync, you agree to these Terms. If you do not agree with these Terms, you should not access or use the Services.

1. About PayLync

PayLync provides payment, invoicing, customer portal, notification, and related business tools that help merchants create invoices, collect payments, manage payment workflows, and communicate with customers.

PayLync may support features such as:

  • Credit and debit card payment processing
  • ACH payment collection
  • Email invoicing and payment links
  • Recurring invoices and recurring payment notifications
  • Surcharge fee settings where applicable
  • Customer portal access
  • Payment confirmations
  • Payment reminders
  • Accounting software related workflows
  • QuickBooks Online and Xero related workflows through the PayLync Chrome extension
  • Mobile invoice maker and estimate tools
  • Other related merchant payment and invoice services

PayLync is intended for business use by merchants, service providers, organizations, and their authorized users.

2. Acceptance of Terms

By using PayLync, creating an account, accessing or installing the PayLync, accessing the customer portal, using the mobile app, sending invoices, processing payments, or otherwise using the Services, you confirm that:

  • You have read and understood these Terms.
  • You agree to be bound by these Terms.
  • You are authorized to use the Services on behalf of yourself or the business entity you represent.
  • You will comply with all applicable laws, rules, regulations, payment network rules, and third-party platform requirements.
  • If you are using PayLync on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Changes to These Terms

PayLync may update these Terms from time to time. Any changes will be posted on the PayLync website with an updated “Last Updated” date.

Your continued use of the Services after the updated Terms are posted means you accept the revised Terms. It is your responsibility to review these Terms periodically.

4. Account Registration and Security

To use certain PayLync features, you may need to create an account or connect PayLync with supported third-party services.

You agree to:

  • Provide accurate and current account information.
  • Keep your login credentials secure.
  • Use only accounts and systems you are authorized to access.
  • Promptly notify PayLync if you believe your account has been accessed without authorization.
  • Be responsible for all activity that occurs under your account.

PayLync is not responsible for losses caused by unauthorized access resulting from your failure to secure your account credentials, devices, browser, or connected third-party accounts.

5. Authorized Use of the Services

You may use PayLync only for lawful business purposes and in accordance with these Terms.

You agree not to:

  • Use PayLync for fraudulent, misleading, illegal, or unauthorized transactions.
  • Use the Services to process payments for prohibited goods or services.
  • Interfere with or disrupt the operation of PayLync.
  • Attempt to gain unauthorized access to PayLync systems, accounts, APIs, or data.
  • Reverse engineer, copy, modify, or create derivative works from PayLync software.
  • Use PayLync in a way that violates payment network rules, ACH rules, card brand rules, tax laws, consumer protection laws, privacy laws, or any applicable regulations.
  • Misrepresent your business, products, services, invoices, payment terms, or customer obligations.
  • Use PayLync to send spam, abusive messages, deceptive invoices, or unauthorized payment requests.

PayLync reserves the right to suspend or terminate access to the Services if we believe your use violates these Terms, applicable laws, payment partner requirements, or security standards.

6. Payment Processing

PayLync may enable merchants to accept payments through supported payment processors, gateways, acquiring banks, or third-party payment service providers.

By using PayLync for payment processing, you acknowledge and agree that:

  • Payment transactions may be processed by third-party payment providers.
  • PayLync may not directly control approval, decline, settlement, chargeback, refund, dispute, or funding decisions made by third-party processors, banks, or card networks.
  • You are responsible for complying with all payment processor agreements, card network rules, ACH rules, chargeback rules, and applicable payment laws.
  • Transaction availability, funding timelines, settlement schedules, fees, and payment methods may vary based on your processor, merchant account, configuration, region, and business type.
  • PayLync may display payment-related data received from processors or connected systems, but PayLync does not guarantee that such data is always complete, real-time, or error-free.

PayLync is not a bank, card network, or financial institution. PayLync provides technology tools to support payment and invoice workflows.

7. ACH Payments

If you use PayLync to accept ACH payments, you are responsible for obtaining proper authorization from your customers before initiating ACH transactions.

You agree to comply with all applicable ACH rules, banking regulations, authorization requirements, return rules, and customer notification requirements.

You are responsible for ensuring that ACH payment details, bank account information, customer authorization, and payment amounts are accurate before initiating any ACH payment.

8. Credit and Debit Card Payments

If you use PayLync to accept credit or debit card payments, you agree to follow all applicable card brand rules, processor requirements, and laws related to card acceptance.

You are responsible for:

  • Ensuring invoice amounts are accurate.
  • Obtaining customer authorization where required.
  • Handling refunds, disputes, and chargebacks appropriately.
  • Following card network rules and processor requirements.
  • Using cardholder and payment information only for lawful and authorized business purposes.

PayLync does not guarantee that any payment will be approved, settled, or free from dispute, chargeback, reversal, refund, or processing error.

9. Surcharge Fees

PayLync may provide surcharge fee settings or surcharge-related features where supported.

You are solely responsible for determining whether surcharge fees are permitted for your business, location, card type, transaction type, processor, and applicable laws.

You agree that:

  • Surcharge rules may vary by country, state, province, card brand, processor, and transaction type.
  • Some cards or transactions may not be eligible for surcharging.
  • Debit cards, prepaid cards, or certain regulated cards may have restrictions.
  • You are responsible for providing required notices and disclosures to customers where applicable.
  • You are responsible for setting surcharge rates correctly.
  • You are responsible for complying with all card brand rules, processor rules, and legal requirements.

PayLync does not provide legal advice, tax advice, or compliance advice regarding surcharge settings. You should consult your payment processor, legal advisor, or compliance professional before enabling surcharge fees.

10. Invoices and Payment Links

PayLync may allow merchants to create, send, manage, or collect payments for invoices.

You are responsible for:

  • The accuracy of invoice details.
  • Customer information entered into PayLync.
  • Products, services, prices, taxes, discounts, fees, and payment terms.
  • Any invoice, estimate, reminder, or message sent to a customer.
  • Ensuring payment links are sent only to intended recipients.
  • Resolving any disputes with customers related to invoices, services, or payments.

PayLync is not responsible for the products or services sold by merchants or for disputes between merchants and their customers.

11. Recurring Invoices and Recurring Payments

PayLync may support recurring invoices, recurring payment workflows, or recurring customer notifications.

By using recurring features, you agree that:

  • You are responsible for obtaining required customer authorization.
  • You must clearly disclose billing frequency, amount, timing, cancellation terms, and any applicable fees to your customers.
  • You are responsible for keeping recurring billing information accurate and updated.
  • You must comply with applicable recurring billing laws, card network rules, ACH rules, and consumer protection requirements.
  • Customers should be provided with a clear method to cancel, update, or manage recurring billing where required by law.

PayLync is not responsible for unauthorized recurring charges created due to incorrect setup, missing customer authorization, or merchant misuse.

12. Customer Portal

PayLync may provide a customer portal where customers can view invoices, make payments, access payment links, or manage payment-related activity.

Merchants are responsible for ensuring that customer information made available through the portal is accurate and appropriate.

Customers using the portal are responsible for reviewing invoice details, payment amounts, and payment method information before submitting payment.

PayLync may update, modify, limit, or discontinue portal features at any time.

13. Notifications and Communications

PayLync may support automated or manual customer notifications, including:

  • Payment confirmations
  • Payment reminders
  • Overdue invoice alerts
  • Recurring invoice notifications
  • Invoice-related email messages
  • Payment status updates

You are responsible for ensuring that customer contact details are accurate and that you have permission to send payment-related communications where required.

PayLync does not guarantee that every email, SMS, reminder, alert, or notification will be delivered, opened, read, or acted upon. Delivery may depend on third-party systems, email providers, spam filters, customer settings, network availability, and other factors outside PayLync’s control.

14. QuickBooks Online Extension

PayLync may provide a Chrome extension that works with QuickBooks Online to help merchants access PayLync payment features within their QuickBooks Online workflow.

By using the PayLync Chrome extension, you agree that:

  • The extension is intended to support PayLync payment and invoice-related workflows.
  • You will use the extension only on supported platforms and accounts that you are authorized to access.
  • PayLync may interact with the active QuickBooks Online page only as needed to provide payment-related features.
  • PayLync does not control QuickBooks Online, Intuit systems, or any third-party platform.
  • QuickBooks Online availability, interface changes, API changes, browser changes, or third-party restrictions may affect extension functionality.

PayLync is an independent service and is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks and Intuit are trademarks of Intuit Inc.

15. Third-Party Services and Integrations

PayLync may connect with third-party services such as accounting platforms, payment processors, gateways, banks, app stores, browsers, email providers, analytics tools, or other business systems.

Your use of third-party services may be subject to separate terms, privacy policies, fees, and requirements from those third parties.

PayLync is not responsible for:

  • Third-party service outages.
  • Third-party data errors.
  • Changes made by third-party platforms.
  • Payment processor decisions.
  • Bank delays.
  • App store policies.
  • Browser updates.
  • Accounting platform changes.
  • Integration limitations.
  • Any loss or damage caused by third-party systems.

You are responsible for maintaining your third-party accounts and complying with all third-party terms.

16. Fees, Subscriptions, and Billing

Some PayLync features may be free, while others may require payment, subscription, transaction fees, service fees, in-app purchases, or processor charges.

By purchasing or using paid features, you agree to pay all applicable fees.

Fees may vary based on:

  • Product or plan selected
  • Payment processor
  • Transaction type
  • Subscription level
  • App store rules
  • Add-on services
  • Merchant configuration
  • Region or market

PayLync may change pricing, features, or subscription plans from time to time. Any pricing changes will apply as described at the time of purchase, renewal, or continued use.

Payment processing fees, bank fees, chargeback fees, refund fees, ACH return fees, surcharge settings, or other third-party fees may be charged separately by your processor or service provider.

17. Refunds and Cancellations

Refund and cancellation terms may depend on the PayLync product, subscription plan, payment method, app store, payment processor, or third-party provider involved.

Unless otherwise required by law or stated in writing:

  • Subscription fees may be non-refundable.
  • Transaction fees may be non-refundable after processing.
  • Processor fees, chargeback fees, ACH return fees, and third-party fees may not be controlled by PayLync.
  • Canceling a subscription may stop future billing but may not automatically refund prior charges.
  • App store purchases may be managed through the applicable app store account.

You are responsible for reviewing the applicable plan, subscription, and payment terms before purchase.

18. Taxes

You are responsible for determining, collecting, reporting, and paying any taxes associated with your business, invoices, products, services, transactions, fees, surcharges, or customer payments.

PayLync does not provide tax advice and does not guarantee that tax calculations, invoice settings, or reporting outputs are accurate for your business or jurisdiction.

You should consult a qualified tax professional regarding your tax obligations.

19. Data and Privacy

Your use of PayLync is also governed by our Privacy Policy.

PayLync uses information as described in the Privacy Policy to provide, secure, maintain, and improve the Services.

You agree that you are responsible for:

  • Entering accurate customer and business information.
  • Obtaining any required customer consent.
  • Using customer data only for lawful business purposes.
  • Protecting your account credentials and connected systems.
  • Complying with applicable privacy and data protection laws.

20. Security

PayLync takes reasonable measures to protect the Services and information handled through the platform. However, no online service, payment system, browser extension, mobile app, or method of electronic transmission is completely secure.

You agree to:

  • Use secure devices, networks, and passwords.
  • Keep your browser, operating system, and apps updated.
  • Use PayLync only through official channels.
  • Notify PayLync promptly if you suspect unauthorized account access or security issues.

PayLync does not guarantee that the Services will be free from all security risks, unauthorized access, interruptions, bugs, or vulnerabilities.

21. Intellectual Property

PayLync and its content, software, logos, designs, trademarks, service names, product names, interfaces, features, documentation, and related materials are owned by PayLync or its licensors.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or create derivative works based on PayLync materials unless expressly authorized in writing.

You may use PayLync only for its intended business purposes in accordance with these Terms.

22. Feedback

If you provide suggestions, ideas, comments, feature requests, or feedback to PayLync, you grant PayLync the right to use that feedback without restriction or compensation to you.

PayLync may use feedback to improve, modify, market, or develop products and services.

23. Service Availability

PayLync aims to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.

The Services may be unavailable due to:

  • Maintenance
  • Software updates
  • Network issues
  • Third-party service outages
  • Payment processor downtime
  • Browser or app store changes
  • Security issues
  • Events beyond our reasonable control
  • PayLync is not responsible for losses caused by service interruptions, delays, failed notifications, unavailable integrations, declined payments, processor issues, or system downtime.

    24. Suspension or Termination

    PayLync may suspend, restrict, or terminate your access to the Services if:

    • You violate these Terms.
    • Your use creates security, legal, financial, or compliance risk.
    • You use the Services for fraudulent or prohibited activity.
    • A payment processor, platform, bank, app store, or third-party provider requires suspension.
    • Your account is inactive, unpaid, or misused.
    • We are required to do so by law.

    You may stop using PayLync at any time. Some obligations, including payment obligations, compliance duties, limitations of liability, and intellectual property protections, will continue after termination.

    25. No Professional Advice

    PayLync provides technology tools for payment, invoice, and business workflow management.

    PayLync does not provide legal, tax, accounting, financial, compliance, or professional advice.

    You are responsible for consulting qualified professionals regarding:

    • Tax treatment
    • Accounting entries
    • Surcharge compliance
    • ACH compliance
    • Card brand rules
    • Customer authorization
    • Payment disputes
    • Regulatory obligations
    • Business reporting

    26. Disclaimer of Warranties

    The Services are provided on an “as is” and “as available” basis.

    To the fullest extent permitted by law, PayLync disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and uninterrupted operation.

    PayLync does not guarantee that:

    • Payments will always be approved.
    • Invoices will always be paid.
    • Notifications will always be delivered.
    • Third-party integrations will always function.
    • Reports or transaction data will always be complete or error-free.
    • The Services will meet every business requirement.
    • The Services will be free from errors, delays, interruptions, or security risks.

    27. Limitation of Liability

    To the maximum extent permitted by law, PayLync will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business, lost data, payment delays, chargebacks, disputes, failed transactions, service interruptions, or third-party system issues.

    To the maximum extent permitted by law, PayLync’s total liability for any claim related to the Services will not exceed the amount paid by you to PayLync for the Services during the three months before the event giving rise to the claim, or one hundred U.S. dollars, whichever is greater.

    Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

    28. Indemnification

    You agree to defend, indemnify, and hold harmless PayLync, its owners, officers, employees, contractors, affiliates, partners, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from:

    • Your use of the Services.
    • Your violation of these Terms.
    • Your violation of applicable laws or regulations.
    • Your invoices, products, services, customers, or transactions.
    • Your surcharge settings or payment practices.
    • Your recurring billing practices.
    • Your failure to obtain required customer authorization.
    • Your misuse of customer or payment information.
    • Any dispute between you and your customers.

    29. Governing Law

    These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

    Any dispute arising from or related to these Terms or the Services will be handled in the courts located in Texas, unless otherwise required by applicable law.
